In 2016, my bandmates Daniel Seavey, Corbyn Besson, Jack Avery, Zachary Dean Herron and I, signed nearly identical agreements with Signature and formed the musical group Why Don't We (“WDW”).

I signed with Signature on September 22, 2016, just three months after turning eighteen in June of that same year.At the time, the other members of our band were all under 18 years old; I remember celebrating Daniel, Corbyn and Jack's 18'th birthdays.The youngest member, Zach Herron, was only 15 years old when he signed with Signature.

When I signed with Signature to form WDW with my fellow band members, it was my big break.At that time, I was an eighteen-year-old from rural Minnesota who dreamed of a career in the music industry.Before then, I had a social media following, occasionally released songs on YouNow and other social media platforms, and played on social media live event tours like DigiFest to try and build a fan base.But I was just a journeyman musician managing my own career and doing my own publicity with help from my parents.I didn't have a record deal with a major label or any contacts in the music business.So, when Signature recruited me, it represented a tremendous opportunity.This was my big chance.

When Signature approached me, I became aware that it was managed and partly owned by Randy Phillips, an extremely influential figure in the music industry.He had managed and produced artists such as Prince, Billy Squier, Simple Minds, Morrissey, Toni Braxton, Sublime, Cheap Trick, Salt-N-Pepa and others.He later served as the CEO of Anschutz Entertainment Group, Inc.(AEG), the world's largest owner of entertainment venues and sports teams.AEG owns, among other things, the Crypto.com arena in Los Angeles (home of the Los Angeles Lakers); the 02 Arena in London; the Coachella Music Festival; 50% of the Los Angeles Kings professional hockey team; an interest in the Los Angeles Lakers basketball team; the Eisbären Berlin professional ice hockey team; the Swedish Hammarby RF professional soccer team; the Champions on Ice figure skating tour; and many others.AEG also operates the following concert venues, among others: Wembley Stadium in London, England; the T-Mobile Center in Kansas City; the Target Center in Minneapolis; the Colosseum at Caesars Palace in Las Vegas; the Oakland— Alameda County Coliseum and Oakland Arena; and PNC Stadium in Houston.Mr. Phillips has also acted as a concert promoter for and booker of some of the biggest names in the music business, including Michael Jackson, Celine Dion, Rod Stewart and Bruce Springsteen.That is why I considered my agreement with Signature to be my big break.

When WDW was formed, Signature invited my fellow band members and me to Los Angeles for rehearsals for our band's initial tour, recording sessions, and video and photo shoots for dissemination on our social media accounts.

Initially, our chief point of contact with Signature was David Loeffler.(“Loeffler.”)

Loeffler told us that he was Randy Phillips' “partner” and emphasized that we needed to listen to him and follow his instructions.He mentioned that he had worked in the entertainment business since his late teens, starting as a member of a band called “E.Y.C.” or “Express Yourself Clearly.” Loeffler claimed to know everything about the entertainment industry and what it takes to become a star.

During our first month in Los Angeles, all members of our band stayed in an AirBNB rented by Signature.Throughout this initial stay, at least one parent of a band member was always present to chaperone us.

During the initial month when a parent was always present, Loeffler was not overly abusive or domineering.Although he had a temper, he mostly behaved professionally.

Later, Signature moved us to a different location — a 5,000 square foot house on a 1.25-acre lot [REDACTED] in Beverly Hills, California.After we moved to the [REDACTED] compound, our parents no longer chaperoned us.

Whenever we left the [REDACTED] house, we were always accompanied by Loeffler.Our outings were always work-related.For example, we visited Logan Paul, a celebrity YouTuber, but this was a work trip, not a sociaoccasion — Logan Paul directed two of our music videos and collaborated with us on other projects.Loeffler was present throughout our entire stay with Logan Paul, causing anxiety among us.

Even the “fun” outings, such as trips to Disneyland and Universal Studios, were highly scheduled and coordinated, intended for capturing content for our social media accounts and YouTube channels.Loeffler would accompany us on these occasions, directing and critiquing us the entire time.

While we were at the [REDACTED] compound, Loeffler set our schedules and controlled every aspect of our daily lives.To say that Loeffler was “domineering” would be a tremendous understatement.

Loeffler, who at that time was in his late 40’s, lived in the [REDACTED] compound with us and was present 24 hours per day, 7 days per week.He was the principal mature adult authority figure in our lives, and his constant presence created anxiety among us.

Shortly after we arrived at the [REDACTED] compound, Loeffler established a “three strikes” rule.Everything had to be done exactly as he said, down to the minutest detail.Loeffler informed us that if a toilet seat was left up, or a light was left on, he would “pull the plug” on the entire band, terminate our agreement with Signature Entertainment, and send us all back home.I believed Loeffler and did whatever I could to please him.My general attitude was that this was my big break; I wanted to do whatever it took to be successful; Loeffler was my immediate boss and I wanted to make him happy; and that I would avoid making waves and do what I was told.This was extremely difficult, but I relied on my inner strength to maintain a clear mind and stay true to my authentic self in the face of adversity.

There were instances when David Loeffler would make inappropriate comments or exhibit unprofessional behavior.I remember him telling us how he was going to make love to his wife to our song, "Nobody Gotta Know," which we made in the first few weeks of the band's formation.I found this very strange considering Zach Herron was only 15 at the time, and I was the oldest was 18.

Sometimes, Loeffler would approach me, asking about the attractive girls I was Snapchatting, talking to me as if I were his friend.He would speak with all of us in this manner, trylng to make us feel like he was our friend and seeking his approval.I remember him recounting stories of how Lionel Richie was smooth with the girls on tour, and he painted it as a desirable way to behave while touring.

During the music video shoot for our song "Unbelievable," there was a running joke among the band members about running naked through the desert afterward.As we were changing out of our wardrobe, Daniel Seavey actually stripped down and started running, prompting the rest of us to follow.Surprisingly, David thought it would be a good idea to instruct the entire film crew to record the event.He then convinced us that releasing the footage of our naked butts would be an ingenious marketing plan.Looking back, it's strange that such a video exists on the internet, and I believe we lost fans because of it.

While we were on tour, there was an incident that I remember vividly, which highlighted Loeffler's inappropriate behavior.One of our fans' mothers sent an email to Ted Sullivan, a publicist from Atlantic Records, expressing her concern about a long-haired man who was dancing inappropriately and acting strangely with his wife in the front-of-house booth in the middle of the crowd.This man turned out to be Loeffler.She mentioned in the email that everyone around him was looking and felt really thrown off by his behavior, especially since it was clear that he was someone important to the band.Unfortunately, we don't have a copy of the email to include, but Tyler Seavey, Daniel's older brother (who was our road manager at the time) can testify to the trueness of this occurrence.This incident serves as a testament to Loeffler's unprofessionalism and the impact it had on our fans.

These instances, along with others, demonstrate David Loeffler's pattern of unprofessionalism and inappropriate behavior.His actions not only made us uncomfortable but also had a negative impact on our fans and the band's image.

The [REDACTED] house has two stories — an upstairs and a downstairs.Loeffler told us that we were not allowed upstairs.The [REDACTED] (compound) has five bedrooms, three of which are upstairs.WDW has five members, and since we could not go upstairs, we were confined to the two downstairs bedrooms, each of which was quite small.One bedroom had two beds, and the other had just one, so Zach Herron and I had to share a bed and sleep in the same bed.Corbyn Besson had to sleep on an air mattress on the floor next to us.The air mattress was leaky and would usually deflate during the night, leaving Corbyn to wake up on the hard floor.There were two empty bedrooms upstairs while Corbyn was sleeping on the air mattress, and we told Loeffler this, but he still would not let anyone go upstairs or sleep in any of the upstairs bedrooms.Eventually two of us got permission to move upstairs, but that only lasted for about a month.

Each day at the compound began with breakfast.Each of us had a choice of either a Lean Pocket frozen sandwich, or a frozen whole-grain Eggo waffle, and that was all we were allowed to have for breakfast.

We were not allowed to touch the refrigerator where the waffles were kept or place them in the toaster ourselves.Loeffler would do this for us.He did allow us to remove the waffles from the toaster, however, so long as we did not touch the toaster.

Once breakfast was finished, we were required to participate in something Loeffler called “groove therapy,” which consisted of three hours of intense dancing using routines choreographed in the 1990’s.We didn't like these dance routines because they were no longer fashionable, and as a result we did not want to use them on stage, but Loeffler made us no them anyway.

“Groove therapy” was exceptionally physically demanding — three hours of intense, whole body aerobic exercise — and I now believe that Loeffler did this in order to physically exhaust us and make us easier to dominate and control.

After groove therapy and/or lunch were finished, we were required to immediately begin rehearsing our songs, making videos, and taking pictures for our social media accounts.We would not have a break or any personal time — the pace was always frantic.

When we went out to dinner or ordered food, we were not allowed to order for ourselves.Loeffler would usually order for us, and would say something like, “I've got this — we are going to eat family style.You guys can't be eating too much.” He'd generally order two or three entrees for the five of us, and we would share them.

The amount of food provided to us at the [REDACTED] compound was not adequate.Because we were so hungry and never got enough to eat, eventually my fellow band members and I would start ordering food to be delivered to the [REDACTED] compound at night using the Postmates delivery service.We'd wait until Loeffler had gone upstairs and one of us would walk to the gate and meet the delivery driver and have him hand the order to us over the top of the gate across the entrance to the compound.

We would then hide the food we obtained from Postmates in our dresser drawers so that Loeffler could not find it.On a few occasions, the food attracted ants and had to be thrown away.When Loeffler discovered this, he was furious and began screaming at us uncontrollably.That was probably our worst day at the compound.

On another occasion, one of us flushed a Gushers fruit snack wrapper down the toilet, which caused the toilet to back up.The plumber, Paul, fished the wrapper out and showed it to Loeffler, who was furious.

The name calling was extremely humiliating and hurtful.I was eighteen years old and was not used to being humiliated by an adult like Loeffler in such a personal and intrusive way.Loeffler also gave me another nickname — “Muffin Top.” This, too, hurt a lot.He Also referred to Jack Avery as "Muffin Top" as well.

Exhibit E attached hereto is a true and correct copy of a video downloaded from the YouTube streaming video sharing service, at https://www.youtube.com/watch?v=jWpP9wwX8Lc, which contains an audio recording of Loeffler screaming at one of my fellow band members, Zach Herron, for ordering a Caesar salad.I was present when this incident took place and it is fully consistent with my memory of the actual event.The audio recording does not appear to have been edited or modified in any way; again, I was there, I recognize the voices on the tape, I remembered the incident before the recording was released on YouTube and the recording is consistent with my recollection.

On that day, Loeffler was screaming — not speaking loudly or forcefully, he was screaming -- that Zach had not “earned” the right to order a salad.Loeffler is highly emotional and repeatedly uses profanities.The other person whose voice appears on the recording is Randy Phillips, who was trying to intercede with Loeffler.In the end, after Phillips says that Zach “is the youngest,” Loeffler got even more angry, slapped his hands together, and screamed “I am fucking out of here!”

The incident depicted in Exhibit E is not unique.It was not Loeffler's worst day, and was not ln any way atypical.That was how Loeffler treated me and my fellow band members when we lived in the [REDACTED] compound.Incidents like this would happen every two or three days.Sometimes Loeffler would scream even louder and engage in even more inappropriate behavior.

Whenever Loeffler criticized one of us, he would do so publicly, in front of others, and in an abrasive, demeaning, hurtful tone.I cannot recall seeing Loeffler take someone aside, or ask to speak to them in private, and then offer helpful suggestions for improvement.I only remember him criticizing band members in front of the rest of the group, with criticisms typically like, “you sound like shit,” “you look like shit,” or “you don't deserve success.”As time went on, Loeffler started interfering with our personal lives or using them to mock us.While we were living at the [REDACTED] compound, one of my bandmates, Corbyn Besson, was trying to maintain a long-distance relationship with his girlfriend.One night he went outside, stood next to our bedroom window and called his girlfriend.I was in the bedroom and could hear Corbyn crying, explaining how stressful his life was, and generally pouring his heart out to his girlfriend.

Loeffler must have overheard the conversation from his upstairs bedroom, because the next morning at breakfast, he started imitating Corbyn's voice and cadence of speech and acting as if he was crying.Loeffler then started repeating some of the things that Corbyn had said to his girlfriend, in front of the rest of the band.

An incident actually took place backstage at MTV TRL directly after those three Playstation Theater shows.We had just performed on TRL, and the whole MTV staff was still hanging around the premises.I could tell some of the MTV employees were concerned with how Loeffler made us feel.Loeffler said that we had been “distracted” by our family members and friends during the PlayStation Theater concerts.Our European tour was about to begin, and Loeffler threatened to pull our entire production budget (for lights, video wall, etc.) and send us on stage with only microphones and a backup track, because we'd had too many friends and family members present in New York.If he had carried out this threat, it would have destroyed our tour.Us band members all ended the conversation putting our arms around each other, hugging and crying, and being there for each other.This was one of the worst days during my time in WDW.

On other occasions, Loeffler would say that “you need me, I don't need you,” and would start enumerating all of the money he was making from other sources.He would always threaten to “pull the plug” on our band, and I believed that he had the power to do this.

In the months and years that followed, once our band started releasing albums and going on successful tours, Signature Entertainment would send my parents Adobe PDF files that, it claimed, accounted for all of the money our band had earned.These documents were summaries generated by Signature.On several occasions I asked our lawyer to ask Signature to provide him with backup for the PDF spreadsheets.Signature refused to provide some of this information, or dragged its feet or gave us inconsistent information.

The reason we released this public statement was because Signature Entertainment had sued us a few weeks before, on August 17, 2021.We were worried that Signature's claims — which were a matter of public record -- that we had breached our contracts and were refusing to go on tour would make us look unreliable and would seriously harm our careers in the music industry.The purpose of the statement was to get our side of the story out to our fans, and others in the music industry, and explain that we weren't difficult or refusiring to do our jobs.A short time later, on November 8, 2021, we went onto the Zach Sang YouTube and radio show for the same reason, i.e. to give our side of the story to the general public and the music industry now that we'd been sued.
